POWER OF ATTORNEY AGREEMENT (Dispatch Purposes)

This Power of Attorney (“Agreement”) is made and entered into on

by and between:

Carrier / Owner-Operator:

Dispatch Service Provider / Authorized Agent

1. Grant of Limited Authority

The Carrier hereby appoints the Dispatch Service Provider as their attorney-in-fact with limited authority strictly for dispatch-related activities, including:

  1. Negotiating and securing freight loads on behalf of the Carrier
  2. Communicating with brokers, shippers, and third parties regarding available loads
  3. Executing rate confirmations and related documents for agreed-upon freight
  4. Coordinating pickup and delivery details for dispatched loads

This authority is strictly limited to dispatching services and does NOT authorize the Dispatch Service Provider to:

  • Enter into long-term or exclusive contracts on behalf of the Carrier
  • Access or control bank accounts, financial assets, or payment systems
  • Make personal, legal, or non-business decisions on behalf of the Carrier

2. Term and Termination

3. Carrier Responsibilities

The Carrier agrees to:

  • Maintain all required insurance, permits, and operating authority
  • Ensure full compliance with all applicable laws and regulations
  • Provide accurate and timely information regarding equipment, availability, and driver status
  • Communicate any preferences, restrictions, or load requirements

4. Dispatch Service Provider Responsibilities

The Dispatch Service Provider agrees to:

  • Act in the best interest of the Carrier when sourcing and negotiating loads
  • Maintain confidentiality of Carrier information
  • Keep records of load confirmations and dispatch activity
  • Communicate important updates, issues, or changes in a timely manner

5. Rate Confirmations & Approval

The Carrier may establish pre-approved rates, lanes, and conditions under which the Dispatch Service Provider may operate.

Any load outside of those parameters should be approved by the Carrier unless otherwise agreed.


6. Compensation

Compensation for dispatch services is governed under a separate Dispatch Service Agreement and is not defined within this Power of Attorney.


7. Liability

  • The Carrier remains fully responsible for vehicle operation, safety, compliance, and regulatory requirements
  • The Dispatch Service Provider is not responsible for accidents, delays, violations, or damages occurring during transportation
  • The Dispatch Service Provider shall not be held liable for non-payment, disputes, or issues between the Carrier and any broker or shipper

8. Independent Contractor Status

The Dispatch Service Provider operates as an independent contractor and is not an employee, partner, or legal representative of the Carrier beyond the limited authority granted in this Agreement.


9. Non-Exclusive Relationship

This Agreement does not create an exclusive relationship unless otherwise agreed in writing. The Carrier is free to work with other dispatchers or secure loads independently.

DISPATCH SERVICE AGREEMENT (SIMPLE & NON-EXCLUSIVE)

This Dispatch Service Agreement (“Agreement”) is made and entered into on

by and between:

Carrier / Owner-Operator:

Dispatch Service Provider:

1. Purpose

This Agreement allows the Dispatch Service Provider to assist the Carrier in finding and coordinating freight loads based on the Carrier’s preferences.


2. Services

The Dispatch Service Provider may:

  • Search for and present available freight loads
  • Communicate with brokers or shippers regarding load details
  • Share rate confirmations and dispatch information
  • Assist with coordination of pickups and deliveries

All load decisions remain with the Carrier.

3. Payment

  • The Dispatch Service Provider is paid a service fee of (fill out which one applies)
  • Payment is due after the Carrier is paid for the load

The Dispatch Service Provider does not receive payments from brokers or shippers and does not have access to the Carrier’s financial accounts.

4. Carrier Control

  • The Carrier has full control over which loads to accept or reject
  • The Carrier may set preferred lanes, rates, and conditions at any time

5. Responsibilities

Carrier:

  • Maintain proper insurance and operating authority
  • Ensure compliance with all applicable laws and regulations
  • Provide accurate availability and load requirements

Dispatch Service Provider:

  • Act in good faith when sourcing and communicating about loads
  • Provide accurate information to the best of their knowledge.
  • Keep Carrier information private

6. Non-Exclusive Agreement

This is a non-exclusive agreement. The Carrier may work with other dispatchers or book loads independently at any time.


7. Termination

Either party may end this Agreement at any time with simple written notice. Any loads already confirmed prior to termination remain subject to the agreed service fee.


8. Liability

  • The Carrier is fully responsible for transportation, equipment, and compliance
  • The Dispatch Service Provider is not responsible for accidents, delays, or issues during transport
  • The Dispatch Service Provider is not responsible for payment delays or disputes involving brokers or shippers

9. Independent Relationship

The Dispatch Service Provider operates independently and is not an employee or partner of the carrier.
